Arising from a Franchise Agreement entered into on August 24, 2012. After HWCG terminated the Franchise Agreement on July 20, 2016, Defendants failed to pay outstanding royalties, failed to return proprietary information including customer and employee lists, and continued to operate an in-home care business in violation of non-competition provisions. HWCG brought claims of (1) breach of contract; (2) unjust enrichment (in the alternative); and (3) misappropriation of trade secrets. Defendants counterclaimed for breach of contract, fraudulent misrepresentation and unjust enrichment.
Status: On January 5, 2018, the Court found in favor of HWCG on its claims, enforced the non-competition provisions, and awarded an injunction, monetary damages and attorney's fees to HWCG. All Defendants' claims were dismissed. Final judgment in favor of HWCG entered February 14, 2018; award of attorney's fees and costs entered February 23, 2018.

- local marketing requirement: Annual Local Marketing Fee: $24,000 annually (an average of $2,000 per month) or 3% of Gross Revenue, whichever is greater. Website Fee: $350 per month (credited to Annual Local Marketing Fee requirement). Additional Local Marketing Requirement: at least $500 per month, or $6,000 annually, whichever occurs first. Grand Opening Marketing: $2,000 within first three months after opening.
The franchise is granted for the Approved Location only within a protected Territory. "Protected" means the franchisor will not operate a business under the Marks and the System in the Territory or authorize others to operate Franchised Businesses within the Territory, except as described. Franchisees do not receive an exclusive territory and may face competition from other franchisees, franchisor-owned outlets, or other channels of distribution/competitive brands the franchisor controls. Franchisor and affiliates retain all rights not expressly granted. Franchisee may add zip codes at franchisor's discretion by paying the Additional Seniors Fee ($1.85 per Senior). On renewal, franchisor has the right to reconfigure the Territory.
