The matter involved the sale of a The Brothers That Just Do Gutters franchise in Virginia to Ken and Ryan Parsons's father before the franchise was registered in Virginia.
Status: The Settlement Order required TBFC to pay a $2,000 penalty plus $500 for investigation costs and prohibits TBFC and its successors (e.g., BPF) from violating Virginia's Retail Franchising Act in the future.

Our complaint alleged: violations of the in-term and post termination restrictive covenant contained in their Executive Home Care Franchise Agreement; trademark and trade dress infringement; unfair competition through the operation of an independent in-home care business using the proprietary and confidential business information and client lists belonging to us; and breach of multiple payment and other obligations. Marshall Defendants asserted counterclaims for breach of contract; breach of duty of good faith and fair dealing; fraudulent inducement; tortious or malicious interference with contract; intentional or malicious interference with prospective economic advantage; violation of the New Jersey Franchise Practices Act; and unjust enrichment.
Status: The District Court granted our motion to compel arbitration. On July 25, 2016, the arbitrator denied our claims and awarded Marshall Defendants $215,386 in damages, costs and expenses.

Status: Motion to compel arbitration granted October 26, 2015. On November 23, 2016, the parties signed a Settlement Agreement whereby Defendants paid us $55,000 and we released Defendants from the post-term restrictive covenants in their Franchise Agreement.

You will not receive an exclusive territory. The Franchise Agreement grants you the right to operate your Business solely within your Territory from the approved EHC Office. A Territory with a minimum population of 300,000 is granted unless you request a metropolitan area with a population of less than 300,000. Territorial protections cover EHC Offices, Clients, Referral Sources, and Targeted Marketing, subject to numerous exceptions (including Converted Outlets). The franchisor reserves rights to Alternative Channels of Distribution and Vacant Territories.
